Item Open Access AN ANALYSIS OF COMPLIANCE WITH CORPORATE GOVERNANCE CODES BY THE NIGERIAN BANKING SYSTEM(Department of Business Administration, Nasarawa State University, Keffi., 2011-06-13) Garba, Bala Magaji; Abdullahi, BelloThe major thrust of the study is to assess the level of compliance of DMBs in Nigeria with internationally accepted codes of corporate governance. In Nigeria, weak corporate governance, among others, has also featured prominently as one of the causes of various banking crises that resulted in the demise of many banks. As the focus of the study is compliance, it relied heavily on survey research using primary data from four important stakeholders, and to achieve these two sets of questionnaires were used. One set for the MDs/CEOs of the sample banks, and the other to three other important stakeholders: shareholders, customers, and regulators. One hundred and ten questionnaires were administered while Chi-square statistical tool was used to test the two formulated hypotheses. It was found that corporate governance has not made an impact on the quality of the board and executive management of the banks and neither has it enhanced their transparency and accountability or entrenched shareholder rights protection because they have not been compliant. It was recommended that there should be the introduction of independent directors on the boards of the banks to check the activities of the boards, particularly those of the block-holders and family connections. This will strengthen the boards and check collusion between the executive and the chair.
